These Terms of Service ("Terms") govern your access to and use of the website, mobile applications, and other products and services (collectively, the "Services") provided by HonestDeed, Inc. ("HonestDeed," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Description of Services

HonestDeed operates a platform that facilitates person-to-person lending, seller financing, and trust-to-heir arrangements. Our Services include tools for creating and managing loans between individuals (including family members), listing and discovering assets available with owner financing, payment tracking, and compliance documentation (including promissory notes and IRS Applicable Federal Rate (AFR) compliance). We act as a neutral third party to help users document, track, and service private loans and seller-financed transactions.

Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use our Services. You must also comply with all applicable laws in your jurisdiction. By using our Services, you represent and warrant that you meet these requirements.

Account Registration and Security

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

User Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable law, regulation, or third-party right
  • Use the Services for any fraudulent or illegal purpose
  • Transmit any harmful, offensive, or otherwise objectionable content
  • Attempt to gain unauthorized access to our Systems or any user accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Collect or harvest any information from the Services without our consent

We reserve the right to suspend or terminate your account if we believe you have violated these Terms or any applicable law.

Fees and Payment

Our fee structure is described on our website and may vary by product tier (e.g., The Handshake, The Family Steward, The Family Office). Setup fees, origination fees, and monthly servicing fees may apply. By using fee-based Services, you agree to pay all applicable fees. We may change our fees from time to time; we will provide notice of material changes as required by law or as specified in our billing communications.

No Legal, Tax, or Financial Advice

HonestDeed provides tools and documentation to facilitate private lending and seller financing. We do not provide legal, tax, or financial advice. You should consult with qualified professionals (attorneys, accountants, financial advisors) before entering into any loan or financing arrangement. We are not responsible for the tax, legal, or financial consequences of your use of our Services.

Third-Party Services

Our Services may integrate with or link to third-party services (e.g., identity verification, bank connectivity). Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, accuracy, or practices of any third-party services.

Intellectual Property

All content, features, and functionality of the Services (including but not limited to software, text, graphics, logos, and trademarks) are owned by HonestDeed or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without our prior written consent.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HONESTDEED DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HONESTDEED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Indemnification

You agree to indemnify, defend, and hold harmless HonestDeed and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any third-party right.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will cease immediately. Provisions of these Terms that by their nature should survive (including indemnification, limitation of liability, and dispute resolution) will survive termination.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be governed by the laws of the State of Michigan, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Marquette County, Michigan, for the resolution of any disputes.

Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services.

General

These Terms constitute the entire agreement between you and HonestDeed regarding the Services. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
